UltiHash, Inc. Acceptance of Terms

These General Terms and Conditions (hereinafter referred to as "GTC") apply between UltiHash, Inc. (hereinafter referred to as the "Licensor") and individual users or entities (hereinafter referred to as the "User", together with the Licensor the "Parties") regarding the use of the UltiHash closed beta (hereinafter referred to as "Software"). By accessing or using the Software, you agree to abide by these terms and conditions. If you do not accept these terms, please refrain from using this Software. Terms and conditions of the User deviating from or supplementing these GTC shall not apply.

Usage of Software

Beta Stage: Please be aware that the Software is in a beta stage and may contain bugs or errors. The Licensor provides the Software without guarantees regarding stability or functionality. The functional scope of the Software results from the Software description on the official website of the Licensor.

Testing Purpose Only: The Software is provided exclusively for testing purposes. Utilizing the Software for commercial activities, production, or any unauthorized purposes is strictly prohibited.

No Sharing or Inviting: Users must not share access to the Software without express permission from the Licensor, nor invite anyone to the associated Slack channel.

Official Download: The Software must only be downloaded through the official website at ultihash.io.

User Responsibilities

The User is responsible for maintaining the security of their account, the confidentiality of their passwords, and adhering to the guidelines for sharing and inviting others as stated above. The User must take suitable, state-of-the-art precautions to protect the Software from unauthorized access by third parties. In particular, the User is obliged to handle the password selected during registration with care. Any loss or damage arising from failure to comply with these provisions is solely the User's responsibility.

The User is obligated to protect the access authorizations and identification and authentication information assigned to them from access by third parties and not to disclose them to unauthorized persons. The User shall inform the Licensor without undue delay if there are indications that unauthorized third parties are aware of the access authorizations and identification and authentication information assigned to them. The User is solely responsible for having a sufficient internet connection to use the Software.

Acceptable Use Policy

The User may not use the Software in any way that is unlawful or that harms the Licensor, the Software, its providers, suppliers, or any other users. The User agrees not to use the Software in any way that breaches any applicable local, national, or international laws or regulations. The User shall not upload any data, documents or other content (hereinafter: "Content") to the Software that violates applicable law, morality or official orders, infringes third-party rights or is infected with viruses or malware. The Licensor is entitled to immediately block access to the Content and to delete the Content from servers of the Licensor or from servers of third parties commissioned by the Licensor if the User violates the before mentioned rule.

Intellectual Property

The intellectual property rights in the Software, including copyrights, trademarks, trade secrets, patents, and other intellectual property rights, are owned by the Licensor. Unauthorized use or reproduction is prohibited.

Disclaimer of Warranties and Refunds

The Software is provided "as is" and "as available" without any warranties, express or implied, including but not limited to, fitness for a particular purpose or non-infringement. The Licensor does not provide any warranties or refunds.

Limitation of Liability and Indemnification

The Licensor shall not be liable for any indirect, incidental, or consequential damages, including loss, damage, or corruption of data, resulting from the User’s use of the Software, unless such loss arises from gross negligence or intentional misconduct by the Licensor. The User agrees to indemnify, defend, and hold harmless the Licensor from and against any claims, liabilities, damages, or costs (including reasonable attorneys' fees) that arise from the User’s use of the Software, the User’s breach of these terms, or the User’s violation of any applicable laws or regulations.

Termination of Software

The Licensor reserves the right to modify, suspend, or terminate the Software at any time without notice or liability.

Changes to Terms

The Licensor reserves the right to modify these terms and conditions at any time without prior notice. Continued use of the Software after any such changes constitutes acceptance of the new terms.

Governing Law
